1. Introduction & Acceptance

Welcome to AI Centers. These Terms of Service ("Terms") govern your access to and use of the AI Centers platform, website, and services (collectively, the "Services") provided by AI Centers, a company registered in Tbilisi, Georgia.

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our Services. These Terms constitute a legally binding agreement between you and AI Centers.

If you are using the Services on behalf of an organization or business, you represent and warrant that you have the authority to bind that entity to these Terms, and "you" refers to both you individually and the entity you represent.

2. Description of Services

AI Centers provides a Software-as-a-Service (SaaS) platform specializing in AI-powered chatbot development and deployment. Our Services include:

• AI Chatbot Development: Custom AI chatbot creation using advanced language models including Google Gemini AI, tailored to your business needs.
• Telegram Bots: Fully automated Telegram bots with AI capabilities for customer support, sales, and engagement.
• WhatsApp Bots: WhatsApp Business API integration with AI automation for customer communication.
• Instagram Bots: Instagram Direct Message automation with AI-powered responses and lead generation.
• Managed Services: Ongoing maintenance, monitoring, optimization, and support for deployed bots.
• Analytics & Reporting: Performance dashboards, conversation analytics, and ROI tracking.
• Integration Services: CRM, e-commerce, and third-party system integrations.

AI Centers reserves the right to modify, suspend, or discontinue any part of the Services with reasonable notice. We are not liable to you or any third party for any modification, suspension, or discontinuation of the Services.

3. User Accounts & Registration

To access certain features of our Services, you must create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information during the registration process.
• Maintain and promptly update your account information to keep it accurate and complete.
• Keep your password secure and confidential; you are responsible for all activity under your account.
• Notify AI Centers immediately of any unauthorized use of your account at support@aicenters.co.
• Accept responsibility for all activities that occur under your account.

You must be at least 18 years old to create an account. Accounts created on behalf of a business must be created by an authorized representative of that business.

4. Subscription Plans & Payments

AI Centers offers the following subscription plans. All prices are in USD:

Payment Terms:

• The setup fee is a one-time payment due upon subscription activation.
• Monthly subscription fees are billed in advance at the start of each billing cycle.
• All payments are processed securely via Stripe. We accept major credit/debit cards and USDC.
• Prices are exclusive of applicable taxes. You are responsible for all taxes applicable to your subscription.
• Subscription fees are non-refundable except as stated in our Refund Policy (refund.html).
• AI Centers reserves the right to change pricing with 30 days' prior notice.
• If payment fails, we will attempt to re-charge your payment method. Continued failure may result in service suspension.

Upgrades & Downgrades: You may upgrade your plan at any time, effective immediately. Downgrades take effect at the start of the next billing cycle.

5. Acceptable Use Policy

You agree to use our Services only for lawful purposes and in accordance with these Terms. You agree NOT to use the Services:

• To violate any applicable local, national, or international law or regulation.
• To transmit unsolicited or unauthorized advertising, promotional materials, spam, or chain letters.
• To impersonate any person or entity, or falsely state or misrepresent your affiliation with a person or entity.
• To engage in any activity that interferes with or disrupts the Services or servers/networks connected to the Services.
• To collect or harvest any personally identifiable information from the Services without explicit consent.
• To use bots for illegal activities including but not limited to fraud, scams, harassment, or distribution of illegal content.
• To reverse engineer, decompile, or attempt to extract the source code of the Services.
• To attempt to gain unauthorized access to any portion of the Services or related systems.

Violation of this Acceptable Use Policy may result in immediate termination of your account and subscription without refund, and may be reported to appropriate authorities.

6. Intellectual Property

AI Centers' IP: The Services, including all software, algorithms, designs, logos, content, and technology ("AI Centers IP") are and remain the exclusive property of AI Centers and its licensors. These Terms do not grant you any right, title, or interest in the AI Centers IP.

Your IP: You retain all ownership rights to your business data, brand assets, and content that you provide to AI Centers for bot development ("Customer Content"). You grant AI Centers a non-exclusive, worldwide, royalty-free license to use, process, and display Customer Content solely for the purpose of providing the Services.

Feedback: Any feedback, suggestions, or ideas you provide about the Services may be used by AI Centers without obligation to you.

Bot Deliverables: Upon full payment, AI Centers grants you a non-exclusive license to use the deployed bot for your business purposes. The underlying technology, AI models, and platform infrastructure remain the property of AI Centers.

7. Privacy & Data Protection

Your privacy is important to us. Our collection, use, and protection of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

Please review our Privacy Policy to understand our practices. By using the Services, you consent to the collection and use of information as set forth therein.

With respect to data processed by your bots on behalf of your end users, you agree to:

• Maintain and publish your own privacy policy that accurately describes data processing activities.
• Obtain necessary consents from your end users for data collection and processing.
• Comply with all applicable data protection laws, including GDPR where applicable.
• Notify AI Centers promptly of any data breaches affecting data processed through our platform.

8. Service Level Agreement (SLA)

AI Centers commits to the following service availability targets:

• Enterprise Plan: 99.9% uptime guarantee (monthly), equating to no more than ~43 minutes of downtime per month.
• Business Plan: 99.5% uptime target.
• Pro & Starter Plans: Best-effort availability with no formal SLA guarantee.

Exclusions: Scheduled maintenance (with advance notice), force majeure events, and issues caused by third-party services (Telegram, WhatsApp, Instagram APIs) are excluded from SLA calculations.

Credits: Enterprise customers experiencing uptime below the 99.9% threshold may request service credits. Credits are capped at 30% of the monthly fee for the affected period and must be requested within 30 days.

Support Response Times:

• Enterprise: Critical issues — 1 hour; Standard — 4 hours.
• Business: Critical issues — 4 hours; Standard — 8 hours.
• Pro: 24 hours for all issues.
• Starter: 48 hours for all issues.

9. Refund Policy

AI Centers offers a 30-Day Money-Back Guarantee on setup fees for all plans. If our AI bot does not automatically resolve at least 50% of customer inquiries within the first 30 days of launch, you are eligible for a full refund of your setup fee.

Monthly subscription fees are non-refundable after the first billing cycle. For full details, please review our Refund Policy.

10. Limitation of Liability

To the maximum extent permitted by applicable law:

• AI Centers' total liability to you for any claims arising from or related to these Terms or the Services shall not exceed the amount you paid AI Centers in the 12 months preceding the claim.
• AI Centers shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or business opportunities.
• AI Centers is not responsible for the actions or content of third-party platforms (Telegram, WhatsApp, Instagram, Google) integrated with our Services.
• AI Centers does not warrant that the Services will be uninterrupted, error-free, or completely secure.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of these limitations may not apply to you.

11. Termination

By You: You may cancel your subscription at any time by contacting support at support@aicenters.co or through your account settings. Cancellation takes effect at the end of the current billing period.

By AI Centers: We may suspend or terminate your account and access to the Services immediately if:

• You breach any provision of these Terms.
• You fail to pay any fees when due after a 7-day grace period.
• We are required to do so by law or regulatory authorities.
• Your use poses a risk to the security or integrity of our platform or other users.

Effect of Termination: Upon termination, your right to use the Services ceases immediately. You may request an export of your data within 30 days of termination. After 30 days, your data may be permanently deleted.

12. Changes to Terms

AI Centers reserves the right to modify these Terms at any time. We will notify you of material changes by:

• Sending an email to the address associated with your account.
• Posting a notice on our website at least 14 days before the changes take effect.

Your continued use of the Services after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the new Terms, you must stop using the Services and cancel your subscription before the effective date.

13. Governing Law

These Terms and any disputes arising from them shall be governed by and construed in accordance with the laws of Georgia (country), without regard to its conflict of law principles.

Any disputes that cannot be resolved through good-faith negotiation shall be subject to the exclusive jurisdiction of the courts of Tbilisi, Georgia.

Notwithstanding the above, AI Centers may seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information.
